Plant People, Inc. ("Plant People," "Company," "we," "us," or "our") welcomes you. We provide access to our website located at www.plantpeople.co (the "Website") and online services (the "Services") subject to these Terms of Use. By accessing or using our Website or Services, you acknowledge that you have read, understood, and agree to be legally bound by these Terms of Use and our Privacy Policy, which is incorporated by reference (collectively, this "Agreement").

THE SECTIONS TITLED "ARBITRATION AGREEMENT" AND "CLASS ACTION WAIVER" CONTAIN BINDING ARBITRATION AND CLASS ACTION WAIVER PROVISIONS. THEY AFFECT YOUR LEGAL RIGHTS. PLEASE READ THEM CAREFULLY.

1. ACCEPTANCE AND MODIFICATIONS

Your access to and use of the Services constitutes acceptance of these Terms. We may modify these Terms at any time. Material changes will be posted on this page with an updated "Last Updated" date and, where required by law, we will notify you via email or prominent notice on the Website at least 30 days before changes take effect. Continued use after modifications constitutes acceptance of the updated Terms.

2. ELIGIBILITY AND ACCOUNT REGISTRATION

Age Requirements: You must be at least 18 years old to create an account or make purchases. By using our Services, you represent that you meet this age requirement.

Account Security: You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. You must immediately notify us of any unauthorized use at support@plantpeople.co.

Accurate Information: You agree to provide current, complete, and accurate information during registration and to update such information as necessary.

3. MEDICAL DISCLAIMER AND HEALTH CLAIMS

No Medical Advice: Plant People does not provide medical care, advice, diagnosis, or treatment. Our products and content are for informational purposes only and are not intended as substitutes for professional medical advice.

FDA Compliance: Our dietary supplements have not been evaluated by the Food and Drug Administration and are not intended to diagnose, treat, cure, or prevent any disease.

Consult Healthcare Providers: Always consult with qualified healthcare professionals before using any dietary supplements, especially if you have medical conditions, take medications, are pregnant, nursing, or under 18 years of age.

No Doctor-Patient Relationship: Use of our Website or Services does not create a doctor-patient relationship between you and any healthcare professionals affiliated with our company.

4. PRODUCTS AND SERVICES

Product Descriptions: We strive for accuracy in product descriptions but do not warrant that descriptions are complete, reliable, current, or error-free. Your sole remedy for inaccurate descriptions is to return unused products per our return policy.

Pricing: All prices are in USD and subject to change without notice. Pricing errors may be corrected even after orders are submitted.

Order Acceptance: We reserve the right to refuse, limit, or cancel orders, including those appearing fraudulent or from resellers.

Inventory: Product availability is not guaranteed. We reserve the right to discontinue products at any time.

5. SUBSCRIPTION SERVICES

Recurring Billing: Subscription services automatically renew at the selected interval until canceled. You authorize us to charge your payment method for recurring subscription fees.

Cancellation Policy: You may cancel subscriptions at least 3 business days (72 hours) before the next renewal date through your account settings or by contacting support@plantpeople.co. Cancellations received after this deadline will take effect for the following billing cycle.

Trial Subscriptions: Trial subscriptions automatically convert to paid subscriptions unless canceled at least 48 business hours before conversion. Trial periods and conversion terms will be clearly disclosed at signup.

Price Changes: We may change subscription prices with 30 days' advance notice via email to your registered address.

6. SHIPPING AND DELIVERY

Shipping Terms: Risk of loss and title pass to you upon delivery to the carrier. Delivery times are estimates and not guaranteed.

International Orders: International customers are responsible for all customs duties, taxes, and fees. We do not accept international returns.

Shipping Restrictions: We reserve the right to restrict shipping to certain locations based on legal requirements or business considerations.

7. RETURNS AND REFUNDS

Return Policy: We accept returns of unused, unopened products in original condition within 30 days of purchase. Contact support@plantpeople.co to initiate returns.

Refund Processing: Approved refunds are processed within 14 business days to the original payment method. Shipping fees are non-refundable.

Subscription Refunds: Subscription orders cannot be refunded if cancellation occurs less than 3 days before renewal.

International Exclusion: We do not accept returns on international orders.

8. SMS AND MARKETING COMMUNICATIONS COMPLIANCE

Consent to SMS: You agree to receive recurring automated promotional and personalized marketing text (e.g., SMS, MMS, and RCS) messages (e.g. cart reminders) from Plant People, including text messages that may be sent using an automatic telephone dialing system and/or AI-assisted technology, to the mobile telephone number you provided when signing up or any other number that you designate. You agree that you consent to receive such messages regardless of any state or federal time of day restrictions and/or the presence of your telephone number on any state or federal Do Not Call list/registry. Consent to receive automated marketing text messages is not acondition of any purchase. Msg & Data rates may apply.

Message frequency will vary. Plant People reserves the right to alter the frequency of messages sent at any time, so as to increase or decrease the total number of sent messages. Plant People also reserves the right to change the short code or phone number from which messages are sent and we will notify you when we do so.

Not all mobile devices, handsets, or carriers may be supported and our messages may not be deliverable in all areas. Messages may not be deliverable if you add digits or symbols to our phone number. Plant People, its service providers and the mobile carriers supported by the program are not liable for delayed or undelivered messages. We may share certain information with our service providers, including Attentive Mobile Inc.

TCPA Compliance: Your consent is not required for any purchase. Message and data rates may apply. Message frequency varies based on your interaction and preferences.

Opt-Out: Text the keyword STOP, END, CANCEL, UNSUBSCRIBE,QUIT, REVOKE, or OPT OUT to our shortcode to cancel. After texting STOP, END, CANCEL, UNSUBSCRIBE, QUIT, REVOKE or OPT OUT to our shortcode you will receive one additional message confirming that your request has been processed. You acknowledge that our text message platform may not recognize and respond to unsubscribe requests that do not include the STOP, END, CANCEL, UNSUBSCRIBE, QUIT, REVOKE, or OPT OUT keyword commands and agree that Plant People and its service providers will have no liability for failing to honor such requests. If you unsubscribe from one of our text message programs, you may continue to receive text messages from Plant People through any other programs you have joined until you separately unsubscribe from those programs.

Carrier Compatibility: Service is available on major carriers. Not all devices may be supported, and messages may not be deliverable in all areas.

Marketing Email Consent: By providing your email, you consent to receive marketing communications. You may unsubscribe using links in emails or by contacting us.

9. INTELLECTUAL PROPERTY RIGHTS

Ownership: All Website content, including text, graphics, logos, images, software, and design elements, is owned by or licensed to Plant People and protected by copyright, trademark, and other intellectual property laws.

Limited License: We grant you a limited, non-exclusive, non-transferable license to access and use the Website for personal, non-commercial purposes.

Restrictions: You may not copy, modify, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, transfer, or sell any content without our prior written consent.

User Content: You retain ownership of content you submit but grant us a perpetual, worldwide, royalty-free license to use, reproduce, modify, publish, and distribute such content for business purposes.

10. ACCESSIBILITY COMPLIANCE

ADA Commitment: We are committed to ensuring digital accessibility for people with disabilities and strive to comply with the Web Content Accessibility Guidelines (WCAG) 2.1 Level AA standards.

12. USER CONDUCT AND PROHIBITED ACTIVITIES

You agree not to:

  • Violate any applicable laws or regulations

  • Submit false, misleading, or fraudulent information

  • Interfere with or disrupt the Services or servers

  • Attempt to gain unauthorized access to any systems

  • Use automated tools to access the Services without permission

  • Engage in any form of harassment, spam, or abuse

  • Submit content that is defamatory, obscene, hateful, or discriminatory

  • Infringe on intellectual property rights of others

  • Distribute malware, viruses, or harmful code

13. DISCLAIMERS AND WARRANTIES

AS IS BASIS: THE SERVICES AND PRODUCTS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

DISCLAIMER OF WARRANTIES: WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR PARTICULAR PURPOSE, NON-INFRINGEMENT, AND THOSE ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

NO GUARANTEE: WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

14. LIMITATION OF LIABILITY

LIABILITY LIMITATION: TO THE MAXIMUM EXTENT PERMITTED BY LAW, PLANT PEOPLE AND ITS AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, USE, OR GOODWILL.

DAMAGE CAP: OUR TOTAL LIABILITY FOR ANY CLAIM SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

ESSENTIAL PURPOSE: THESE LIMITATIONS REFLECT THE ALLOCATION OF RISK BETWEEN THE PARTIES AND WILL APPLY EVEN IF ANY LIMITED REMEDY FAILS OF ITS ESSENTIAL PURPOSE.

15. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless Plant People, its officers, directors, employees, agents, and affiliates from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from:

  • Your use of the Services

  • Your violation of these Terms

  • Your violation of any third-party rights

  • Your content or conduct on the Services

  • Your violation of any applicable laws

16. DIGITAL MILLENNIUM COPYRIGHT ACT (DMCA)

Copyright Infringement: We respect intellectual property rights and comply with the DMCA.

Notice Requirements: DMCA notices must include all required elements under 17 U.S.C. § 512(c)(3).

17. ARBITRATION AGREEMENT

Binding Arbitration: Any dispute arising from or relating to these Terms or the Services will be resolved through binding individual arbitration rather than in court, except for small claims court matters or injunctive relief.

Arbitration Rules: Arbitration will be conducted by the American Arbitration Association (AAA) under its Commercial Arbitration Rules and Consumer Arbitration Rules, where applicable.

Location: Arbitration will take place in Austin, Texas, or remotely if agreed by both parties.

Fees: AAA fees will be allocated per AAA rules. We will pay your filing fees for claims under $75,000.

Federal Arbitration Act: This agreement is governed by the Federal Arbitration Act.

18. CLASS ACTION WAIVER

Individual Basis Only: You agree that any dispute resolution will be conducted only on an individual basis and not in a class, consolidated, or representative action.

No Class Arbitration: You waive any right to participate in class arbitration or class action litigation.

Severability: If the class action waiver is found unenforceable, the entire arbitration provision shall be null and void.

19. REFERRAL PROGRAM

Eligibility: You must have an active account in good standing to participate in our referral program.

Referral Credits: Both you and referred friends may receive credits for qualifying purchases as specified in program communications.

Program Terms: Detailed referral terms are available at https://www.plantpeople.co/apps/bubblehouse/referral/ and incorporated by reference.

Anti-Fraud: We reserve the right to disqualify referrals obtained through fraudulent means and seek damages for violations.

20. GIFT CARDS

Digital Only: Gift cards are digital only and redeemable exclusively at plantpeople.co.

No Cash Value: Gift cards have no cash value and are non-transferable and non-refundable.

Expiration: Gift cards expire 12 months from date of issuance unless prohibited by law.

Fraud Protection: We reserve the right to refuse or cancel gift cards suspected of fraud.

21. LOYALTY POINTS PROGRAM

Program Overview: Plant People may offer a loyalty points program ("Loyalty Program") that allows eligible customers to earn and redeem points for purchases and other qualifying activities.

Earning Points: You may earn loyalty points ("Points") through qualifying purchases, referrals, reviews, account activities, and other promotional activities as determined by us. Points have no cash value and are awarded at our sole discretion.

Point Values: Point values and redemption rates are determined by us and may change at any time without prior notice. Current point values and redemption options are displayed in your account dashboard.

Redemption: Points may be redeemed for discounts on future purchases, exclusive products, or other rewards as specified in the Loyalty Program. Points cannot be redeemed for cash, gift cards, or transferred to other accounts.

Expiration Policy: Points expire six (6) months from the date they are earned and credited to your account. Expired points are automatically forfeited and cannot be restored. It is your responsibility to track point expiration dates through your account dashboard.

Minimum Redemption: Points may only be redeemed in minimum increments as specified in the program terms, typically when you have accumulated sufficient points for available rewards.

Account Requirements: You must have an active account in good standing to participate in the Loyalty Program. Points are forfeited immediately upon account closure or termination for any reason.

Program Limitations:

  • Points cannot be combined with certain promotions or discounts

  • Limits may apply to point redemption per transaction or time period

  • Points earned from purchases made with redeemed points may be limited or excluded

  • International customers may have different program terms or exclusions

Fraudulent Activity: We reserve the right to void points, suspend accounts, or terminate program participation for fraudulent activity, abuse of program terms, or violation of these Terms of Use.

Program Modifications: We may modify, suspend, or discontinue the Loyalty Program at any time with or without notice. Changes may include point values, earning rates, expiration policies, and available rewards.

No Liability: We are not responsible for technical issues that prevent point earning or redemption, including but not limited to website errors, system maintenance, or connectivity issues.

Program Termination: Upon program discontinuation, you will have ninety (90) days to redeem existing points before they are forfeited. We will provide reasonable notice of program termination via email or website posting.

Dispute Resolution: Disputes regarding points, redemptions, or program terms are subject to the arbitration and dispute resolution provisions in these Terms of Use.

22. FORCE MAJEURE

We shall not be liable for any failure to perform our obligations due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, labor strikes, government actions, or supply chain disruptions.

23. TERMINATION

Termination Rights: We may suspend or terminate your account and access to Services at any time for violation of these Terms or other reasons at our discretion.

Effect of Termination: Upon termination, your right to use the Services ceases, but provisions regarding liability, indemnification, and dispute resolution survive.

24. GOVERNING LAW AND JURISDICTION

These Terms are governed by Texas state law without regard to conflict of law principles. For matters not subject to arbitration, you consent to the exclusive jurisdiction of state and federal courts in Austin, Texas.

25. SEVERABILITY

If any provision of these Terms is found unenforceable, the remaining provisions will continue in full force and effect.

26. ENTIRE AGREEMENT

These Terms, together with our Privacy Policy and any additional terms referenced herein, constitute the entire agreement between you and Plant People regarding the Services.
